1. Services

We provide payment processing, merchant services, integrations, and related consulting. Specific features and terms for a given service may be governed by separate agreements entered into between you and Top Choice Payments or our partners.

2. Eligibility

You represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. You must provide accurate information when creating accounts or requesting services.

3. Accounts and security

If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4. Payments, fees, and billing

Fees for services, transaction processing, chargebacks, and any applicable taxes will be described in the service agreement or pricing documentation. You agree to pay all applicable fees. Refunds and chargeback handling follow the policies set forth in your merchant agreement.

5. Prohibited activities

You agree not to use our services for unlawful activity or in a manner that violates applicable laws or the rights of others. High-risk or restricted industries may be subject to additional terms or denial of service.

6. Intellectual property

All content, trademarks, and intellectual property on our website are owned by or licensed to Top Choice Payments, unless otherwise noted. You may not use our trademarks without prior written permission.

7. Disclaimers

Our services are provided "as is" and "as available". Except where prohibited by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the fullest extent permitted by law, Top Choice Payments will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of your use of the services. Our aggregate liability for direct damages will be limited to fees paid to us in the prior 12 months, unless otherwise agreed in writing.

9. Indemnification

You agree to indemnify and hold us harmless from claims, losses, liabilities, and expenses arising from your use of our services or violation of these Terms.

10. Termination

We may suspend or terminate access to services for breach of these Terms, legal reasons, or for convenience. Upon termination, obligations that by their nature should survive termination will remain in effect.

11. Governing law

These Terms are governed by the laws of the state applicable to Top Choice Payments as set out in your merchant or service agreement, without regard to conflict of law rules. Disputes will be resolved in the courts specified in your agreement.

12. Changes

We may update these Terms from time to time. We will post the updated Terms with a new effective date. Continued use of the services after changes indicates acceptance.
